By using the KiiRaa.com web site, a Service of KiiRaa LLC ("KiiRaa",
"us" or "we"), you are agreeing to be bound by
the following terms and conditions ("Terms of Use").

Description of the service |
|
KiiRaa is a user driven website that provides its visitors a list of internet websites.
By using this website you understand and agree that the Service may include advertisements,
sponsored links, promotional listings, or paid placement. You also understand and
agree that the service may include certain communications from KiiRaa, such as service
announcements, administrative messages and the KiiRaa newsletter, and that these
communications are considered part of the Service

Registration |
|
If you choose to register a password protected user profile with KiiRaa - which
is required only if you want to suggest a site, recommend a site, or take advantage
of such other services as may be offered only to users with a profile - you agree
to: (a) provide true, accurate, current and complete information about yourself
and (b) maintain and promptly update the registration information to keep it true,
accurate, current and complete.
If you provide any information that is untrue, inaccurate, not current or incomplete,
or KiiRaa has reasonable grounds to suspect that such information is untrue, KiiRaa
has the right to suspend or terminate your account and refuse any and all current
or future use of the service (or any portion thereof).

Profile display name and password |
|
When you sign up to become a KiiRaa Member, you will also be asked to choose a username
and password for your KiiRaa Profile. You are entirely responsible for maintaining
the confidentiality of your password and all use of your KiiRaa Profile. You agree
not to use the KiiRaa Profile, username, or password of another KiiRaa Member at
any time. You agree to notify us immediately if you suspect any unauthorized use
of your KiiRaa Profile or access to your password

|
Website suggestion terms |
|
All sites suggested to KiiRaa comply with the following minimum terms:
|
- The site must be up and running 24/7
- The site must not already appear on KiiRaa
- The site (if suggested in the past) was last submitted at least a year back
- The site must contain unique, unambiguous and useful content
- The site must clearly define its purpose of existence, products, and/or services
- The site must be complete and must not contain any parts as ‘under construction’
- All links on the site must work
- The site must be in the English language
- The site must support multiple browsers including Internet Explorer, Firefox, Safari,
Chrome and Opera
- The site must not contain any content, products, services or other information that
may be illegal to sell under any applicable law, that may infringe or violate anyone's
rights, or that, KiiRaa believes, in its sole discretion, is offensive
- The site should not content pornographic content

Please note that the above listed are the minimum site submission terms only, and
KiiRaa editors use additional factors in deciding whether or not to accept the suggested
site for inclusion.
KiiRaa reserves the right to decide whether, where, and how a site is listed. If
KiiRaa accepts a suggestion, KiiRaa reserves the right to list the site in any category
or subcategory and keywords as KiiRaa deems appropriate, in its sole discretion.
KiiRaa reserves the right not to include any specific keywords in the title or description
of your site. KiiRaa also reserves the right, in its sole discretion, to remove
your site from the KiiRaa database, move the listing to a different category or
subcategory, and change or remove any keywords at any time, for any reason.

Indemnification
|
|
You agree to indemnify and hold KiiRaa, and its affiliates, officers, agents, co-branders
or other partners, and employees, harmless from any liability, cost, expense, or
claim or demand made by any third party, due to or arising directly or indirectly
out of websites you suggest, your conduct or in connection with your use of the
Service or its features, any alleged violation of the terms, or any alleged violation
of any applicable law or regulation.

Resale of service |
|
You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial
purposes, any portion of the Service, use of the Service, or access to the Service.

Service modification |
|
We reserve the right to modify or terminate the Service for any reason, without
notice at any time. You agree that KiiRaa shall not be liable to you or to any third
party for any modification, suspension or discontinuance of the Service

Effect of termination |
|
You agree that KiiRaa, in its sole discretion, may terminate your profile or use
of the Service, and remove and discard any Site within the Service, for any reason,
including, without limitation, if KiiRaa believes that you have violated the Term
of Use. KiiRaa may also in its sole discretion and at any time discontinue providing
the Service, or any part thereof, with or without notice.
You agree that any termination of your access to the Service under any provision
of this Terms of Use may be effected without prior notice, and acknowledge and agree
that KiiRaa may immediately deactivate or delete your account and all related information
and files in your account and/or bar any further access to such files or the Service.
Further, you agree that KiiRaa shall not be liable to you or any third-party for
any termination of your access to the Service. Finally, when an account is terminated,
we reserve the right to re-issue the username they had selected (for the now deleted
account).

Advertisers |
|
Your dealings with advertisers found on or through the Service are solely between
you and such advertiser. You agree that KiiRaa shall not be responsible or liable
for any loss or damage of any sort incurred as the result of any such dealings or
as the result of the presence of such advertisers on the Service.

Third party links and websites |
|
The Service may contain links to third-party websites (a) placed by us as a service
to those interested in this information; or (b) posted by other Users. We may also
place links or enable interoperability to other social networking communities or
use other means to connect the KiiRaa Services to such Communities to give you more
possibilities. You use all such links at your own risk.
To the extent such links are provided by us, they are provided only as a convenience,
and such link to a does not imply our endorsement, adoption or sponsorship of, or
affiliation to these links. We accept no responsibility for reviewing changes or
updates to, or the quality, content, policies, nature or reliability of Third Party
Links. You should review applicable terms and policies, including privacy and data
gathering practices, of any Third-Party Links and Websites, and should make whatever
investigation you feel necessary or appropriate before proceeding with any transaction
with any third party.

KiiRaa proprietary rights |
|
You acknowledge and agree that the Service contains proprietary and confidential
information that is protected by applicable intellectual property and other laws.
You further acknowledge and agree that content contained in sponsor advertisements
or information presented to you through the Service or advertisers is protected
by copyrights, trademarks, service marks, patents or other proprietary rights and
laws.
Except as expressly authorized by KiiRaa or advertisers, you agree not to modify,
rent, lease, loan, sell, distribute or create derivative works based on the Service,
in whole or in part.

Disclaimer of warranties |
|
KiiRaa disclaims any responsibility for harm resulting from your use of the Services.
The Services are provided "as is," with no warranties whatsoever. KiiRaa
expressly disclaim to the fullest extent permitted by law all express, implied,
and statutory warranties, including without limitation the warranties of merchantability,
fitness for a particular purpose, title, and noninfringement of proprietary rights.
KiiRaa disclaim any warranties regarding the security, reliability, timeliness and
performance of the Services. You understand and agree that you use the Services
at your own discretion and risk and that you will be solely responsible for any
damages to your computer system or loss of data that results from the use of the
Services.
Some states or other jurisdictions do not allow the exclusion of implied warranties,
so the above exclusions may not apply to you. You may also have other rights that
vary from state to state and jurisdiction to jurisdiction.

Limitation of liability |

You understand and agree that KiiRaa shall not be liable for any damages, including
but not limited to, damages for loss of profits, goodwill, use, data or other intangible
losses resulting from: (i) The use or the inability to use the Service; (ii) The

information or services purchase or obtained or messages received or transactions
entered into through or from the services; (iii) Statements or conduct of any third
party on the service; OR (iv) Any other matter relating to the Service

Trademark information |
|
KiiRaa trademarks and service marks, and other KiiRaa logos and product and service
names (“KiiRaa Marks”) are trademarks of KiiRaa. Without KiiRaa prior permission,
you agree not to display or use in any manner, the KiiRaa Marks.

Copyrights |
|
KiiRaa respects the intellectual property of others, and we expect our users to
do the same. If you believe that your work has been infringed or your intellectual
property rights have been otherwise violated, please provide KiiRaa the following
information:

- an electronic or physical signature of the person authorized to act on behalf of
the owner of the copyright;
- a description of the infringed copyrighted work;
- a description of where the infringing material is located on the site;
- your address, email address, and telephone number;
- a statement by you that you have a good faith belief that the disputed use is not
authorized by the copyright owner, its agent, or the law;
- a statement by you, made under penalty of perjury, that the above information in
